Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the FracIT.com website, platform, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.


FracIT.com ("FracIT", "we", "us", or "our") operates a marketplace that connects vetted fractional IT professionals ("Candidates") with approved businesses and individuals ("Clients"). FracIT is not a party to any service agreement entered into between Clients and Candidates.


1. Definitions


  • "Candidate" means a vetted fractional IT professional approved to join the FracIT expert panel.
  • "Client" means an approved business or individual seeking fractional IT services.
  • "Time Block" means a fixed period of time agreed between a Client and a Candidate for service delivery.
  • "Fixed Day Rate" means the non-negotiable rate applicable to a Candidate’s tier as determined by FracIT.
  • "Platform Fee” means the fee payable to FracIT for use of the Platform, calculated either (a) on a pay-as-you-go basis as 15% of the value of each completed Time Block, or (b) where the Customer has purchased a monthly subscription, through a one-off subscription fee of GBP £12,000, which entitles the Customer to a 50% reduction in applicable Time Block rates, as further described on the Platform .
  • "Services" means the services provided by FracIT in operating and maintaining the Platform.


2. Platform Role and Scope


2.1 FracIT acts solely as a facilitator and marketplace provider. FracIT does not provide IT services, employ Candidates, or guarantee outcomes.

2.2 Any agreement for services is entered into directly between the Client and the Candidate following a free half day  consultation.

2.3 Candidates act as independent contractors and not as employees, agents, or partners of FracIT.


3. Eligibility and Account Approval


3.1 All users of the Platform must be at least 18 years of age.

3.2 Candidates must successfully complete FracIT’s onboarding, vetting, verification, and tiering process, as outlined in FracIT’s Candidate Onboarding Guidelines (as updated from time to time), before their account is approved and they may offer services through the Platform.

3.3 Clients must be approved by FracIT prior to accessing the Expert Panel or engaging Candidates through the Platform.

3.4 FracIT reserves the right, at its sole discretion, to approve, reject, suspend, limit, or remove any user account at any time, including where a user fails to meet eligibility requirements or comply with these Terms.


4. Vetting, Tiering, and Rates


4.1 Candidates are assessed and assigned to a tier level by FracIT based on factors including, but not limited to, experience, skills, qualifications, availability, and performance.

4.2 Each tier level has an associated Fixed Day Rate and/or Time Block rate, as determined by FracIT, which the Candidate agrees to apply to all engagements facilitated through the Platform.

4.3 Candidates must not negotiate, agree to, or accept rates outside their assigned tier, whether directly or indirectly, for any engagement introduced through FracIT, including negotiations conducted outside the Platform.


5. Consultations and Engagements


5.1 FracIT facilitates an initial free half day consultation between Clients and Candidates.

5.2 Following the consultation, Clients and Candidates may agree on one or more Time Blocks.

5.3 The Candidate is responsible for managing service delivery directly with the Client.

5.4 FracIT is not responsible for the quality, delivery, or outcome of services provided by Candidates.


6. Fees and Payments


6.1 All Time Block engagements introduced or facilitated through the Platform are subject to FracIT’s Platform Fee, unless otherwise agreed under an applicable subscription arrangement.

6.2 Where a Candidate or Client operates on a pay-as-you-go basis, FracIT is entitled to a Platform Fee equal to 15% of the total value of each completed Time Block.

6.3 Where a Client has purchased a monthly subscription, the Client shall pay the applicable one-off subscription fee of AUD 12,000, which entitles the Client to a 50% reduction in applicable Time Block rates, in lieu of the pay-as-you-go Platform Fee.

6.4 Candidates agree to pay, or authorise the deduction of, the applicable Platform Fee to FracIT in accordance with the billing, invoicing, or payment mechanisms specified by FracIT from time to time.

6.5 Failure to pay any Platform Fees or subscription fees when due may result in suspension, limitation, or termination of the relevant user’s account, without prejudice to FracIT’s other rights.


7. User Obligations


7.1 Client Obligations

Clients agree to:

  • Use the Platform lawfully and in good faith
  • Provide accurate project and business information
  • Pay Candidates in accordance with agreed Time Blocks.

7.2 Candidate Obligations

Candidates agree to:

  • Provide accurate and up-to-date information
  • Deliver services professionally and competently
  • Comply with assigned tier rates and FracIT policies
  • Maintain confidentiality of Client information

8. Prohibited Conduct

Users must not:

  • Circumvent the Platform to avoid paying Platform Fees
  • Misrepresent qualifications or business needs
  • Use the Platform for unlawful purposes
  • Infringe intellectual property or confidentiality obligations


9. Intellectual Property


9.1 All Platform content, branding, and technology are owned by or licensed to FracIT.

9.2 Users may not copy, modify, or distribute Platform materials without prior written consent.


10. Confidentiality and Data Protection


10.1 Users agree to maintain the confidentiality of non-public information obtained through the Platform.

10.2 Personal data is processed in accordance with FracIT’s Privacy Policy.


11. Limitation of Liability


11.1 To the maximum extent permitted by law, FracIT shall not be liable for:

  • Any indirect, incidental, or consequential losses
  • Acts or omissions of Clients or Candidates
  • Service quality or project outcomes


11.2 FracIT’s total liability arising from the Platform shall not exceed the total Platform Fees received by FracIT from the relevant user in the preceding 12 months.


12. Indemnity

Users agree to indemnify and hold harmless FracIT from any claims, losses, damages, or expenses arising from:

  • Breach of these Terms
  • Disputes between Clients and Candidates
  • Misuse of the Platform


13. Termination


13.1 FracIT may suspend or terminate access to the Platform at any time for breach of these Terms.


13.2 Termination does not affect accrued rights or outstanding payment obligations.


14. Governing Law and Jurisdiction


These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.


15. Changes to These Terms


FracIT may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
